The website and mobile application located at grassrootsmanager.com and related mobile applications (collectively, the "Platform") is a copyrighted work belonging to Simon Reed Development Limited ("Company", "GrassrootsManager", "GRM", "us", "our", and "we"). Certain features of the Platform may be subject to additional guidelines, terms, or rules, which will be posted on the Platform in connection with such features.

All such additional terms, guidelines, and rules, including our Privacy Policy, are incorporated by reference into these terms of use (these "Terms").

These Terms set forth the legally binding terms and conditions that govern your use of the Platform. By accessing or using the Platform, you are accepting these Terms (on behalf of yourself or the entity that you represent), and you represent and warrant that you have the right, authority, and capacity to enter into these Terms (on behalf of yourself or the entity that you represent). If you do not agree with all of the provisions of these Terms, do not access and/or use the Platform.

1. Accounts

1.1 Account Creation

In order to use certain features of the Platform, you must register for an account ("Account") and provide certain information about yourself as required by us. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) if creating an account for a minor (under 16), you have parental authority or legal guardianship to do so; (d) you will comply with all safeguarding and child protection requirements applicable to youth football activities.

1.2 Account Types and Responsibilities

Parent/Guardian Accounts: You are responsible for all activities under accounts you create for yourself and any children under your care. You agree to maintain strict confidentiality of login credentials and immediately notify us of any suspected unauthorized access.

Club Manager/Administrator Accounts: If representing a football club or organization, you warrant that you have proper authority to bind that organization to these Terms and to manage player data in accordance with applicable regulations.

Player Accounts: Players under 16 cannot create independent accounts. All accounts for players under 16 must be created and managed by a parent or guardian with appropriate legal authority.

1.3 Account Security

Company may suspend or terminate your Account immediately if we detect: (a) unauthorized access attempts; (b) violation of child protection policies; (c) misrepresentation of identity or authority; (d) any breach of these Terms.

2. Access to the Platform

2.1 License

Subject to these Terms, Company grants you a personal, non-transferable, non-sublicensable, non-exclusive, revocable, limited license to use and access the Platform solely for legitimate grassroots football coordination and family management purposes.

2.2 Specific Restrictions

The rights granted to you in these Terms are subject to the following restrictions:

(a) Data Protection and Competitive Use:

  • You shall not use the Platform to build, enhance, or operate any competing football management, sports coordination, or team management service
  • You shall not extract, scrape, harvest, or systematically collect any data from the Platform through automated means (including bots, scrapers, crawlers, or APIs not specifically provided for your use)
  • You shall not manually copy, reproduce, or systematically collect Platform data for commercial purposes or to create databases or directories
  • You shall not access player registration data, venue information, or fixture details for any purpose other than your legitimate football activities

(b) Technical and Distribution Restrictions:

  • You shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise make available the Platform or any content displayed on the Platform
  • You shall not modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Platform
  • You shall not attempt to circumvent any access controls, rate limiting, or security measures

(c) Content and Intellectual Property:

  • Except as expressly permitted herein, no part of the Platform may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means
  • All copyright and proprietary notices must be retained on any permitted copies
  • You acknowledge that fixture data, venue intelligence, and match coordination features constitute valuable proprietary information

2.3 Football Association and League Data

You acknowledge that certain fixture, league, and registration data displayed on the Platform may be sourced from The Football Association, County Football Associations, or local leagues. Such data is provided for coordination purposes only and may not be:

  • Redistributed or republished without proper authorization
  • Used for commercial purposes outside your direct football activities
  • Extracted for creation of competing databases or services
  • Modified or presented in misleading ways

2.4 Modification and Discontinuation

Company reserves the right, at any time, to modify, suspend, or discontinue the Platform (in whole or in part) with or without notice. We will provide reasonable advance notice for significant changes that affect core functionality. You agree that Company will not be liable for any modification, suspension, or discontinuation of the Platform.

2.5 Ownership

Excluding Personal Content and Community Content (defined below), you acknowledge that all intellectual property rights in the Platform and its content are owned by Company or Company's licensors. This includes but is not limited to:

  • Software code and algorithms
  • User interface designs and workflows
  • Proprietary match day coordination features
  • Venue intelligence databases
  • Player journey tracking methodologies
  • Data aggregation and presentation systems

Neither these Terms nor your access to the Platform transfers any rights, title, or interest in such intellectual property rights, except for the limited access rights expressly set forth in Section 2.1.

3. Content Ownership and Data Sovereignty

3.1 Content Definitions

We distinguish between two types of content on the Platform:

"Personal Content" means information that relates to or identifies specific individuals, including:

  • Player profiles, photos, and personal information
  • Medical information and emergency contact details
  • Individual performance data and development tracking
  • Family contact details and personal preferences
  • Private communications and personal comments

"Community Content" means information that benefits the broader football community, including:

  • Venue details, facilities information, and location intelligence
  • Club organizational information and operational details
  • Match coordination data and logistics patterns
  • Fixture information and scheduling data
  • Aggregated usage patterns and system-generated insights
  • Community-contributed venue reviews and facility guidance

3.2 Personal Content Ownership

You Own Your Personal Content. Personal Content belongs to you and your family, not to any club, organization, or platform. This ownership includes:

  • Complete control over who can access your Personal Content
  • The right to export your Personal Content at any time
  • The right to delete your Personal Content from the Platform
  • The right to revoke club or organization access to your Personal Content

Limited Platform License for Personal Content: You grant Company a limited, non-exclusive, revocable license to process your Personal Content solely to provide Platform services (account management, authorized data sharing, and safety features). This license terminates when you delete your account.

3.3 Community Content Ownership

Platform Owns Community Content. When you contribute Community Content to the Platform, you grant Company full ownership of such content. This includes:

  • Venue intelligence and facility information you provide
  • Club operational details and organizational content
  • Match coordination insights and logistics data
  • Reviews, recommendations, and community guidance
  • System-generated analytics and usage patterns

Why Community Content is Platform-Owned: Community Content creates value for all users through shared venue intelligence, coordination insights, and operational knowledge. Platform ownership allows us to maintain, improve, and protect this valuable community resource while preventing competitors from extracting the intelligence that our community has collectively built.

Your Grant of Community Content: By submitting Community Content, you irrevocably transfer all rights, title, and interest in such content to Company. You warrant that you have the right to make such transfer and that the Community Content does not infringe any third-party rights.

3.4 Data Sovereignty Principles

Family Control: Parents and guardians maintain ultimate control over their children's Personal Content, including:

  • Deciding which clubs and organizations can access Personal Content
  • Setting specific permissions for different types of data sharing
  • Revoking access at any time
  • Exporting or deleting Personal Content when changing clubs or leaving the sport

Player Journey Ownership: All personal development data, achievements, and individual football journey information belongs to the player and their family, not to any specific club or organization.

3.5 Prohibited Content and Activities

You agree not to upload, transmit, or distribute content that:

(a) Violates Rights or Laws:

  • Infringes any intellectual property, privacy, or other rights
  • Contains unlawful, harmful, threatening, abusive, or defamatory material
  • Violates child protection or safeguarding regulations
  • Breaches any court order or legal obligation

(b) Compromises Safety:

  • Contains inappropriate images or content involving minors
  • Shares unauthorized personal information of other users
  • Promotes unsafe football practices or injury risks
  • Contains malicious software or security threats

(c) Commercial Misuse:

  • Uses player or club data for unauthorized commercial purposes
  • Promotes competing services or recruits users to alternative platforms
  • Contains spam, advertising, or promotional material not related to legitimate football activities

3.6 Data Extraction and Competitive Intelligence Prohibition

You specifically agree not to:

  • Use the Platform to gather intelligence about competing football management services
  • Extract venue information, fixture data, or club details for use in competing platforms
  • Create derivative databases using Platform content
  • Reverse engineer Platform features for competitive advantage
  • Share Platform access credentials with unauthorized third parties

4. Safeguarding and Child Protection

4.1 Safeguarding Compliance

All users agree to comply with:

  • The Football Association's safeguarding policies
  • County FA child protection requirements
  • Relevant legislation including the Children Act and GDPR provisions for minors
  • Club-specific safeguarding policies and procedures

4.2 Reporting Obligations

Users must immediately report any suspected child protection concerns through:

  • Platform reporting mechanisms
  • Appropriate club welfare officers
  • Local authorities where required
  • The Football Association's safeguarding team

4.3 Image and Content Standards

Special restrictions apply to content involving minors:

  • All images must have appropriate consent from parents/guardians
  • No content may identify or target individual children inappropriately
  • Medical and personal information is strictly controlled and encrypted
  • Communications with minors must follow appropriate safeguarding protocols

5. Indemnification and Liability

5.1 User Indemnification

You agree to indemnify and hold harmless Company, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Platform
  • Your violation of these Terms or applicable laws
  • Your User Content or any consequences of sharing such content
  • Any breach of child protection or safeguarding obligations
  • Any unauthorized access to or use of your account

5.2 Specific Football-Related Indemnification

You additionally agree to indemnify Company for any claims arising from:

  • Improper use of player data or registration information
  • Unauthorized sharing of fixture or venue intelligence
  • Breach of Football Association or league regulations
  • Any injury or incident claims related to information shared through the Platform

6. Disclaimers and Limitations

6.1 Platform Disclaimers

The Platform is provided "as-is" and "as available." To the maximum extent permitted by law, Company disclaims all warranties, including:

  • Accuracy or completeness of fixture information
  • Availability or reliability of venue data
  • Compatibility with specific club management systems
  • Uninterrupted access or error-free operation

6.2 Football-Specific Disclaimers

Company specifically disclaims responsibility for:

  • Accuracy of match results or player statistics
  • Venue conditions, availability, or safety
  • Changes to fixture schedules or league regulations
  • Actions or policies of clubs, leagues, or The Football Association
  • Any physical injury or incident occurring during football activities

6.3 Limitation of Liability

For Paid Services: If you have paid fees, our total liability is limited to £50 or the amount you paid in the preceding 12 months, whichever is greater.

For Free Services: If you use only free Platform features, Company's liability is limited to £10.

Excluded Damages: We will not be liable for any indirect, consequential, or punitive damages, including lost profits, data loss, or business interruption.

Legal Exceptions: These limitations do not exclude liability for death, personal injury caused by negligence, fraud, or other liability that cannot be legally excluded.

7. Intellectual Property Protection

7.1 Platform IP Protection

Company's intellectual property includes:

  • Proprietary algorithms for match day coordination
  • Venue intelligence and recommendation systems
  • Player journey tracking methodologies
  • User interface designs and workflow innovations
  • Database structures and data aggregation techniques

7.2 Anti-Circumvention Measures

You agree not to:

  • Reverse engineer Platform algorithms or recommendation systems
  • Extract or replicate venue intelligence databases
  • Copy user interface designs or workflow patterns
  • Circumvent technical protection measures
  • Create derivative works based on Platform innovations

7.3 Enforcement

Company reserves the right to:

  • Monitor Platform usage for compliance with these Terms
  • Investigate suspected violations through technical and legal means
  • Terminate accounts immediately upon detection of IP violations
  • Pursue legal remedies including injunctive relief and damages
  • Report violations to appropriate authorities

8. Termination

8.1 Termination by Company

We may suspend or terminate your access immediately for:

  • Any violation of these Terms
  • Suspected child protection concerns
  • Unauthorized data extraction or competitive use
  • Technical security threats
  • Non-payment of applicable fees

8.2 Termination by User

You may terminate your account at any time, subject to:

  • Proper data transition if you're a club administrator
  • Compliance with any outstanding obligations
  • Appropriate notice to affected clubs or family members

8.3 Effect of Termination

Upon termination:

  • Your access to the Platform ceases immediately
  • Personal Content may be deleted or anonymized according to your data sovereignty rights
  • Community Content remains owned by the Platform
  • Outstanding obligations survive termination
  • Personal Content export may be available for a limited period

9. Dispute Resolution and Governing Law

9.1 Governing Law

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9.2 Arbitration (For Commercial Users)

For clubs, leagues, or other commercial users with annual fees exceeding £500, disputes shall be resolved through arbitration administered by the London Court of International Arbitration (LCIA) under current LCIA Arbitration Rules. The arbitration shall be conducted in English, seated in London, with one arbitrator unless the dispute value exceeds £50,000.

9.3 Small Claims Exception

Individual parents and players may pursue claims in small claims court regardless of the arbitration provision above.

10. General Provisions

10.1 Updates to Terms

We may update these Terms occasionally. For significant changes affecting user rights or data handling, we will:

  • Provide 30 days advance notice via email and Platform notification
  • Highlight material changes clearly
  • Allow you to terminate your account if you disagree with changes
  • Maintain previous Terms version for 90 days

10.2 Entire Agreement

These Terms, together with our Privacy Policy and any specific club or league agreements, constitute the complete agreement between you and Company regarding Platform use.

10.3 Severability

If any provision is found unenforceable, the remaining Terms continue in full effect, and the unenforceable provision will be modified to be enforceable to the maximum extent permitted.

10.4 Assignment

You may not assign these Terms without our written consent. Company may freely assign these Terms, including in connection with any merger, acquisition, or sale of assets.

10.5 Electronic Communications

You consent to receive all communications electronically and agree that electronic communications satisfy any legal requirements for written notice.

10.6 Service Changes and Development

Platform Development: We continuously develop and improve the Platform. This means we may add, change, modify, suspend, or remove functionality, features, or parts of the service at any time without prior notice.

Notification of Service Changes:

  • For significant changes that substantially affect core functionality, we will notify you through the Platform, email, or other appropriate means
  • For minor changes, updates, or improvements, we may implement them without specific notification
  • New features or functionality may be added without prior notice

Acceptance of Changes: If you continue to access or use the Platform after any changes to the Terms or the service, you are considered to have accepted the new terms and functionality. If you do not agree with any changes, your sole remedy is to stop using the Platform and terminate your account.

No Obligation to Maintain Features: We have no obligation to maintain any particular feature, functionality, or service level. We may discontinue any aspect of the Platform at our sole discretion without liability to you or any third party.
